These Terms of Use ("Terms") govern your use of the website at varalix.com (the "Website"), operated by Varalix Digitech Solutions ("Varalix", "we", "us"). By using the Website you agree to these Terms. If you do not agree, please do not use the Website.

2. Who we are and what we make

Varalix is a product company. Our product is Nabha, an AI-native IoT platform, available at nabha.cloud.

This Website describes Varalix and Nabha. It does not itself provide the product. Use of Nabha, including accounts, subscriptions, billing, cancellation and refunds, is governed by the Nabha Terms of Service and related policies published at nabha.cloud/legal, which take precedence over these Terms for everything concerning the product.

You may contact us by email. Information you send is handled under our Privacy Policy. Contacting us, and any reply we send, does not create a contract. A contract for Nabha is formed only when you create an account and accept the Nabha terms, or when both parties sign a written agreement.

not use the Website for any unlawful purpose;
not attempt to gain unauthorised access to any part of the Website or its infrastructure;
not interfere with or disrupt the Website; and

WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE INFORMATION ON IT IS COMPLETE OR CURRENT. Product descriptions on the Website are informational; the authoritative description of Nabha and its plans is published at nabha.cloud.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARALIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE WEBSITE. Our total liability for any claim arising from use of the Website shall not exceed INR 10,000. Liability arising from use of Nabha is governed by the Nabha Terms of Service.

You agree to indemnify Varalix and its personnel against claims, damages, losses and expenses (including legal fees) arising from your breach of these Terms or your misuse of the Website.

10. Changes

We may update these Terms. Changes take effect when posted on this page with a new "Last updated" date. Continued use of the Website after a change is acceptance of the updated Terms.

11. Governing law and disputes

These Terms are governed by the laws of India. The parties will first try to resolve any dispute in good faith by writing to contact@varalix.com. Any dispute not resolved within 30 days shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement, seated in Hubli, Karnataka, India, in English. The courts at Hubli, Karnataka have exclusive jurisdiction for interim relief and enforcement.

12. Severability

If any provision of these Terms is found unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in full force.
